These terms may be changed or updated by The Factory Shop Limited trading as The Original Factory Shop from time to time and without prior notice. Please check these terms to ensure you understand the terms that apply at that time. We will indicate at the top of these terms the date on which they were last updated and any use of our site following such a change assumes acceptance of the new terms.

 

We may suspend or withdraw our site

Our site is made available free of charge.

We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site (including any products and promotions) for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

We may also deny access to our site where we reasonably believe (in our absolute discretion) that you are in breach of any of these terms.

You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms and any other applicable terms and conditions, and that they comply with them.

 

We may transfer this agreement to someone else

We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under these terms.

Our site is directed to people residing in the United Kingdom. We do not represent that content available on or through our site is appropriate for use or available in other locations.

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

Please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

If defective digital content that we have supplied, damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation.

We are not responsible for viruses and you must not introduce them

We do not guarantee that our site will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. Which country's laws apply to any disputes?

Please note that these terms, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

1 THESE TERMS
1.1 These are the terms and conditions on which we supply our products to you where you are a consumer (i.e. you are buying products from us for your personal use) and your order is placed on our website.

1.2 These terms will apply and will be legally binding on you. Please read these terms carefully before you submit your order to us. We also recommend that you print a copy of these terms for future reference.

1.3 Nothing in these terms will affect your legal rights. Detailed information on your legal rights is available from the Citizens Advice website: www.adviceguide.org.uk.

2.2 How to contact us. We encourage you to contact us if you have any questions or wish to confirm your understanding of these terms.

3 OUR CONTRACT WITH YOU
3.1 How we will accept your order. Our acceptance of your order will take place when we email you to accept it or, if earlier, the time we dispatch the products for delivery or confirm the products are available for collection, at which point a contract will come into existence between you and us.

3.2 If we cannot accept your order. If we are unable to accept your order, we will inform you of this and, if we have already taken payment, we will refund the charges in full. This might be because the product is out of stock, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of the product or because we are unable to deliver to your preferred delivery address or meet a delivery or collection deadline you have specified.

3.3 We generally only sell and deliver to the UK. Our website is solely for the promotion of our products in the UK. Unfortunately, we do not deliver to addresses outside the UK. Special delivery charges may apply for delivery to the Channel Isles or Scottish Isles, Northern Ireland and Scottish borders.

4 OUR PRODUCTS
4.1 Products may vary slightly from the information provided on our website or in our marketing materials. Any information, such as images, sizing, weights, dimensions and specifications, on our website or included in our catalogues and other marketing material is included as a guide only. Your product may vary slightly from the information provided. If any of the information provided is particularly important to you, we recommend that you contact us to confirm the information prior to placing your order.

4.2 Product packaging may vary. The packaging of the product supplied to you may vary from that shown in images of our products.

4.3 Electrical and electronic equipment. Where we supply products to you that are Electrical and Electronic Equipment (EEE), we are obligated under the Waste Electrical and Electronic Equipment Regulations (the WEEE Regulations). The WEEE Regulations were implemented to reduce the amount of electronic waste being sent to landfill. Under this legislation old electrical items must not be disposed of with standard waste, but should be taken to a central point for recycling. To remind you that old electrical equipment can be recycled, it is marked with a crossed out wheeled bin symbol. More information about the WEEE Regulations can be found at www.gov.uk/electrical-and-electronic-equipment-eee-producer-responsibility. We are a registered member of Valpak. Our WEEE registration number is 500980. In accordance with the WEEE Regulations, our EEE products are marked with the crossed out wheeled bin symbol and we finance the recovery and recycling of WEEE when it reaches the end of its life.

5 PROVIDING THE PRODUCTS
5.1 How we will provide the products. During the order process, the products which are ‘online only’ will be delivered to you.

5.2 Delivery and any other supplemental costs. If you place an order for delivery on our website, the costs of delivery and any other supplemental costs will be as displayed to you on our website.

5.3 When we will provide the products. During the order process, we will keep you updated as to when we will provide the products to you. Unless you select a specific delivery or collection date, we will initially provide you with an estimated delivery or collection date when we accept your order and we will then contact you to update that estimate when the products are ready for delivery or collection. Unless we agree with you otherwise, the date for collection will be within 30 days after the day on which we accept your order. If we are unable to deliver the products or make the products available for collection within 30 days of the date on which you accept your order, we will notify you of this and, unless you agree to extend the time for delivery or collection, you may end the contract and we will refund in full any charges you have paid for the products not delivered or collected.

5.4 We are not responsible for delays outside our control. If our supply of the products is delayed by an event outside our control, we will contact you as soon as possible to let you know and we will take reasonable steps to minimise the effect of the delay. Provided we do this, we will not be liable for delays caused by the event, but, if there is a risk of substantial delay, you may contact us to end the contract and receive a refund for any products you have paid for but not received. Examples of events that are outside our control include acts of God, floods, drought or other natural disasters; outbreaks of a virus, disease or other severe illness; terrorist attacks; collapse of buildings, fire or explosions; any labour or trade disputes, strikes or industrial action; or non-performance by our suppliers (where those suppliers are not one of our group companies).

5.5 If you are not at home when the product is delivered. If no one is available at your address to take delivery, we will try to leave your product at a safe place or deliver it to a neighbour. If this is not possible, we will attempt to re-deliver at a later date.

5.6 What will happen if you do not give required information to us. We may need certain information from you so that we can supply the products to you, for example, where you ask us to deliver a product to you, we will need the address of the delivery location. If you do not give us this information within a reasonable time of us asking for it, or if you give us incomplete or incorrect information, we may either end the contract (and clause 9.2 will apply) or make an additional charge of a reasonable sum to compensate us for any extra work that is required as a result. We will not be responsible for supplying the products late or not supplying any part of them if this is caused by you not giving us the information we need within a reasonable time of us asking for it.

5.7 When you become responsible for the products. Any product we sell to you will be your responsibility from the time we deliver the product to the address you gave us (this includes when products are delivered to a safe place or to a neighbour if you are not in at the time of delivery).

5.8 When you own the products. In spite of the fact that you may have become responsible for the product in accordance with clause 5.7 above, you will only own that product once we have received payment in full.

6 SUSPENDING THE SUPPLY OF PRODUCTS
6.1 Reasons we may suspend the supply of products to you. We may have to suspend the supply of a product:

(a) to deal with technical problems or make minor technical changes;

(b) to ensure the safety of our customers or our employees where we have reason to believe that supplying the product to you may put you, our employees or any third party’s safety at risk;

(c) where, upon delivery, the driver deems the delivery location to be unsuitable; or

(d) to update the product to reflect changes in relevant laws and regulatory requirements.

6.2 Your rights if we suspend the supply of products. We will contact you in advance to tell you we will be suspending supply of the product, unless the problem is urgent or an emergency (such as the delivery location not being suitable for our driver to unload the products), in which case we may not be able to tell you in advance. You may contact us to end the contract for a product if we suspend it, or tell you we are going to suspend it, and we will refund any sums you have paid in advance for the product in respect of the period after you end the contract.

7 YOUR RIGHTS TO END THE CONTRACT
7.1 Ending your contract with us. You will have rights to end the contract in certain circumstances. In particular, you will be able to end the contract:

(a) If the product you have bought is faulty or misdescribed you may have a legal right to end the contract (or to get the product repaired or replaced or to get some or all of your money back), see clause 10;

(b) If you want to end the contract because of something we have done or have told you we are going to do, see clause 7.2; or

(c) If you have just changed your mind about the product, see clause 7.3. You may be able to get a refund if you are within the cooling-off period, but this may be subject to deductions and you will have to pay the costs of return of any products.

7.2 Ending the contract because of something we have done or are going to do. If you are ending a contract for a reason set out at (a) to (e) below, the contract will end immediately and we will refund you in full for any products which have not been provided but have been paid for. The reasons are:

(a) we have told you about an error in the price or description of the product you have ordered and you do not wish to proceed;

(b) we are unable to deliver the product to your preferred delivery location and we have been unable to agree an alternative method or location for delivery;

(c) there is a risk that supply of the products may be significantly delayed because of events outside our control;

(d) we have suspended supply of the products for any of the reasons set out in clause 6.1 above (or notified you we are going to suspend them); or

(e) you have a legal right to end the contract because of something we have done wrong.

7.3 Exercising your right to change your mind (Consumer Contracts Regulations 2013). For most products bought online, you have a legal right to change your mind within 14 days and receive a refund. This 14-day period is known as the “cooling-off period”.

7.4 How long do I have to change my mind? The exact date on which the cooling-off period starts and ends depends on what you have ordered and how it is delivered or collected. If the product you have purchased is subject to a cooling-off period, in most cases, the 14-day period will start on the day you (or someone you nominate) receive the products. However, if your products are split into several deliveries or collections over different days, the 14-day period will start on the day you (or someone you nominate) receive the last product.

7.5 When you don't have the right to change your mind. You do not have a right to change your mind in respect of:

(a) any products which become mixed inseparably with other items after their delivery or collection;

(b) sealed products, including for safety, hygiene or other legal reasons, once it has been unsealed after you receive it;

(c) quickly perishable products, including food or beverage items; and/or

(d) any other similar products which by reason of their nature cannot be returned.

8 HOW TO END THE CONTRACT WITH US
8.1 Tell us you want to end the contract. Where you wish to exercise a right to end your contract with us in accordance with these terms or your legal rights, please let us know through the ‘contact us’ form at www.tofs.com/pages/contact-us. Please provide your name, home address, order number, details of the order and, where available, your phone number and email address. If you wish to do so, you can end the contract by sending us a completed version of the model cancellation form that we have included at the end of these terms. However, using this form is not obligatory.

8.2 Returning products after ending the contract. If you end the contract for any reason after products have been dispatched to you or you have received them, you must return them to us. For ’online only’ orders, please visit https://www.tofs.com/a/returns and fill in the form to request a return and receive your shipping instructions, if applicable.

If you choose to return the products to store, a proof of purchase is required to process the return. This can be the delivery note or confirmation email.

Returns can also be taken to any of the 7,500 Collect+ sites throughout the UK.

If you are exercising your right to change your mind, you must return or send off the products within 14 days of telling us you wish to end the contract and the products should be returned unopened, in their original condition and packaging. We reserve the right to make any deductions from the refund amount if there is any indication that the product has been unnecessarily handled, as explained at clause 8.5(a) below.

8.3 When we will pay the costs of return. We will pay the costs of return in all instances.

8.4 How we will refund you. We will refund you the price you paid for the products by the method you used for payment; delivery charges will be refunded if the contract is cancelled within fourteen (14) calendar days, or if your order included faulty or incorrect items. However, we may make certain deductions, as described below. However, we may make certain deductions, as described below.

8.5 Deductions from refunds if you are exercising your right to change your mind. If you are exercising your right to change your mind during the cooling-off period:

(a) We may reduce your refund of the price (excluding any delivery costs) to reflect any reduction in the value of the products, if this has been caused by your handling them in a way which would not be permitted in a store. If we refund you the price paid before we are able to inspect the products and we later discover you have handled them in an unacceptable way, you must pay us an appropriate amount.

(b) If applicable, the maximum refund for delivery costs will be the costs of delivery by the least expensive delivery method we offer. For example, if we offer delivery of a product within 7-10 days at one cost but you choose to have the product delivered within 48 hours at a higher cost, then we will only refund what you would have paid for the cheaper delivery option.

8.6 When your refund will be made. We will make any refunds due to you as soon as possible. Your refund will be made within 14 days from the day on which we receive the product back from you or, if earlier, the day on which you provide us with evidence that you have sent the product back to us. For information about how to return a product to us, see clause 8.2.

9 OUR RIGHTS TO END THE CONTRACT
9.1 We may end the contract if you break it. We may end the contract for a product at any time by writing to you if:

(a) you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the products, for example, a delivery address where our contract states that we will deliver the products to you;

(b) you do not, within a reasonable time, allow us to deliver the products to you.

9.2 You must compensate us if you break the contract. If we end the contract in the situations set out in clause 9.1, we will refund any money you have paid in advance for products we have not provided, but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of you breaking the contract.

10 IF THERE IS A PROBLEM WITH THE PRODUCT
10.1 How to tell us about problems. If you have any questions or complaints about the product, please contact us via www.tofs.com/pages/contact-us or using the contact details provided in clause 2.2. If a fault with the product occurs during the guarantee period, then we will replace the product or, in some cases, offer you a refund. The guarantee period for electrical products is 12 months from the date of delivery. The guarantee period for unopened products with an end or expiry date is the period from the date of delivery until such end or expiry date.

10.2 Your obligation to return rejected products. If you wish to exercise your legal rights to reject products because they are faulty or misdescribed, you must for ’online only’ orders visit https://www.tofs.com/a/returns and fill in the form to request a return.

11 PRICE AND PAYMENT
11.1 Where to find the price for the product. The price of the product (which includes VAT) will be the price indicated on the order pages of our website. We take all reasonable care to ensure that the price of the product advised to you is correct. However, please see clause 11.3 for what happens if we discover an error in the price of the product you order.

11.2 We will pass on changes in the rate of VAT. If the rate of VAT changes between your order date and the date we supply the product, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect.

11.3 What happens if we got the price wrong. It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order. If the product's correct price at your order date is higher than the price stated to you, we will contact you to give you the option of continuing to purchase the product at the correct price or cancelling your order before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any products provided to you.

11.4 When you must pay and how you must pay. We accept payment online for ’online only’ orders by standard credit or debit cards. We are unable to accept gift cards or vouchers for ‘online only’ orders, these include The Original Factory Shop, Love 2 Shop or One4all. Unless otherwise agreed with you, we will take payment for your order from your credit or debit card at the time you place your order. If we subsequently reject your order for any of the reasons permitted by these terms, or we cannot supply any product for any reason, we will credit your credit or debit card with a full refund.

11.5 What to do if you think an invoice is wrong. If you think an invoice is wrong please contact us promptly to let us know via www.tofs.com/pages/contact-us or using the contact details provided in clause 2.2.

12 OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU
12.1 We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the sales process.

12.2 We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the products.

12.3 We are not liable for business losses. We only supply the products for domestic and private use. If you use the products for any commercial, business or re-sale purpose, we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

13 HOW WE MAY USE YOUR PERSONAL INFORMATION
How we may use your personal information. We will only use your personal information as set out in our Privacy Notice at https://www.tofs.com/pages/privacy-notice.

14 OTHER IMPORTANT TERMS
14.1 We may transfer this contract to someone else. We may transfer our rights and obligations under these terms to another organisation. We will tell you in writing if this happens and we will do our best to ensure that the transfer will not affect your rights under the contract.

14.2 You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.

14.3 Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.

14.4 If a court finds part of this contract illegal, the rest will continue in force. Each of the clauses of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining clauses will remain in full force and effect.

14.5 Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

14.6 Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. However, if you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.

14.7 Alternative dispute resolution. We encourage you to contact us with any issues or complaints in the first instance by contacting us using the contract details in clause 2.2. We will try to resolve any disputes as quickly and efficiently as possible. However, if you are not happy with have handled a dispute, please let us know and we will provide you with information about our alternative dispute resolution provider.

 Club £5,000 Prize Draw

  1. The ‘win £5,000 cash’ prize draw is open to TOFS Club members who shop and swipe/scan their Club App or card in-store between 02/12/24 - 15/12/24.
  2. The prize is not transferable.
  3. Entry to this prize draw is open to persons who will be aged 18 years or over and who are full time residents of the UK (including Northern Ireland, the Channel Islands and the Isle of Man).
  4. To enter the prize draw, the TOFS Club member details held by the Promoter must include an email address or phone number; these are needed to contact the winner.
  5. The winner will be chosen at random from qualifying transactions within the timeframe by staff at The Original Factory Shop after the closing dates noted in point 3.
  6. The winner will be contacted via email or phone on Tues 17/12/2024, if the winner does not respond within one working day, an alternative winner may be selected.

    1. Liability

    Each participant in the Promotion understands and accepts that the Promoter is not liable for, and cannot be held liable for, errors, losses and irregularities that may arise when using Scratch & Win, if such issues are caused by disruption or by any other error or omission arising from problems in telecommunications, data traffic, congestion or internet connection, or for any other reason that is not attributable to TOFS.

    The Promoter is liable (i.e. responsible) to you for foreseeable loss and damage caused by the Promoter. If the Promoter fails to comply with these terms and conditions, the Promoter is responsible for loss or damage you suffer that is a foreseeable result of the Promoter’s breach of this contract or the Promoter failing to use reasonable care and skill. However, subject to the foregoing:

    • the Promoter is not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen;

    • the Promoter is not liable for business losses. The Promoter only provide the prizes and gifts for domestic and private use. If you use or intend to use them s for any commercial, business or re-sale purpose, the Promoter will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

    The Promoter does not exclude or limit in any way its liability to you where it would be unlawful to do so.     1. Early termination

    These are the terms and conditions for the TOFS Club+ loyalty and membership programme ("TOFS Club+"). These terms and conditions prevail in the event of any conflict or inconsistency with any other communications, including advertising or promotional materials. All members of TOFS Club+ will be deemed to have accepted and agree to be bound by these terms and conditions.

    1. How to register for TOFS Club+ 

    In order to register for TOFS Club+, you must: 

    • Register as a TOFS member on the TOFS Club+ app (the "App"). You can download the App from the "App Store" or "Google Play Store".
    • Be resident in the UK.
    • Be of a minimum of 18 years of age.
    • Not already be a registered member of TOFS Club+ (e.g. under a different email address).  

    TOFS Club+ must not be used for corporate or business purposes or by groups of individuals.  

    2. Managing your TOFS Club+ account 

    Once you have registered for TOFS Club+, your account and benefits are not transferable.  

    You are responsible for ensuring that all of the personal details you provide to TOFS are accurate, complete and up-to-date. TOFS shall not be responsible if you are unable to redeem the benefits of TOFS Club+ or if any communications are delayed or undelivered due to your details not being accurate, complete and up-to-date.  

    You can cancel your membership with TOFS Club+ at any time by emailing appsupport@tofs.com.  

    TOFS may cancel your membership with TOFS Club+ if TOFS reasonably suspects that you may be acting fraudulently, criminally or in breach of these terms and conditions. TOFS may also suspend or cancel your membership if you have been inactive for 12 months. 

    3. Your personal data 

    TOFS will only process your personal data in accordance with applicable data protection laws (including the General Data Protection Regulation (EU) 2016/679 as implemented into UK law and the Data Protection Act 2018) and as set out in TOFS' privacy notice which is available at https://www.tofs.com/pages/privacy-notice.  

    4. Benefits 

    The benefits of TOFS Club+ are subject to change, time limitations and exclusions. They are also subject to availability and if necessary may be substituted by TOFS. TOFS may cancel, withdraw, void, suspend, modify or replace any benefits at any time for any reason. We will notify you of any material changes to the benefits of TOFS Club+ via the App or by email where possible. 

    Benefits are non-transferable, non-exchangeable and no cash alternative is offered. Benefits are only redeemable in TOFS stores in the UK. They cannot be redeemed online or in stores where TOFS is a concession. Styles and colours of items provided in connection with the benefits of TOFS Club+ may vary by store. 

    Benefits cannot be used to purchase plastic bags, gift cards, mobile top-ups, postage stamps, DVDs, lottery scratch cards and lottery tickets. Other category and product exclusions may apply in some stores. In TOFS stores within Co-op stores, we do not sell groceries. 

    If the value of the benefit is higher than the purchase amount at checkout that the benefit is redeemed against, the difference is forfeited by the user and is non-refundable. The balance will not be given in cash. 

    If items purchased using a benefit are returned, only the discounted purchase price paid by the member will be refunded. If the item was wholly purchased using the benefit, the purchase price of the product shall be refunded on a gift card.  

    TOFS shall not be liable for any delay or failure to perform any obligation to the intended recipient of any benefit. That includes, without limitation, where a delay or failure to perform is caused by: 

    • any act or omission of a third party; 
    • technical problems affecting the App and/or TOFS Club+; or
    • any other event outside of TOFS' reasonable control.  

    5. Member Prices 

    Member Prices are exclusive promotions in-store which are only available to TOFS Club members (physical card or App). To get the Member Prices, you must scan the TOFS Club+ card barcode on the App (or swipe the physical Club card) at checkout at the time of purchase from a TOFS store in the UK and the promotion shall be automatically applied to your transaction.  

    Member Prices are subject to section 4 of these terms and conditions.  

    6. Club+ Badges 

    Club+ Badges is the loyalty rewards programme within TOFS Club+.  

    There are three badges to collect: 

    • Shop and spend £20 or more  
    • Shop and spend £20 or more 
    • Shop and spend £20 or more 

    Members can collect these badges by scanning the App card barcode on the App at checkout at the time of a purchase from a TOFS store in the UK. Only one shopping badge can be achieved in one transaction. i.e. you cannot achieve more than one 'Shop and spend £20 or more 'in one transaction. Badges are kept for 12 months from the date that they are achieved. 

    Once you’ve collected all three badges you will receive a '£5 off' reward. This will automatically appear in your 'My Rewards' section in the App.  

    The twelve month time period for the badges shall commence on the date that the badge is achieved. 

    The '£5 off' reward will be valid for 3 months. If it isn't used within that time period, it will be automatically removed from the 'My Rewards' section in the App. This reward is subject to section 4 of these terms and conditions. 

    When you redeem your '£5 off' reward earned through the Club+ Badges programme, that transaction will not count towards achieving future badges. 

    Bonus badges may be released by TOFS from time to time and will be communicated to members through the App or by email, SMS or post as and when they are released.  

    7. Money-Off Vouchers 

    TOFS may, on occasion, reward TOFS Club+ members with money-off vouchers.  

    These money-off vouchers will be subject to section 4 of these terms and conditions.  

    8. Liability

    1. WHO WE ARE AND WHAT THIS AGREEMENT DOES

    1.1. We, The Original Factory Shop Group Limited of The Factory Shop Ltd, Orient Business Park, Billington Road, Burnley, East Lancashire, BB11 5UB ("We", "TOFS" or "Us"), license you to use:

    (a) The TOFS Club+ loyalty programme mobile application software, the data supplied with the software, and any updates or supplements to it ("App").

    (b) The related online documentation ("Documentation").

    (c) The TOFS Club+ loyalty programme you connect to via the App (the "Programme").

    as permitted in these Terms.

    1.2. These Terms (together with any terms and/or policies referred to) set out the terms and conditions on which you can use our App to access the Programme.

    2. YOUR PRIVACY

    2.1. We only use any personal data we collect through your use of the App and the Programme in the ways set out in our privacy policy notice https://www.tofs.com/pages/privacy-notice.

    2.2. Please be aware that internet transmissions are never completely private or secure and that any message or information you send using the App may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

    4. OPERATING SYSTEM REQUIREMENTS

    This App requires an Apple or Android device with the IOS 11 operating system and above, or the Android 6 operating system and above.

    5.3. If we have to contact you, we will do so via notifications in the App, or by email using the contact details you have provided to us.

    6. HOW YOU MAY USE THE APP

    In return for your agreeing to comply with these Terms, you may download or stream a copy of the App onto your personal devices and view, use and display the App and the Programme on such devices for your personal purposes only. You may also use any Documentation to support your permitted use of the App and the Programme.

    7. YOU MUST BE 18 TO ACCEPT THESE TERMS AND DOWNLOAD THE APP

    You must be 18 or over to accept these Terms and download the App.

    8. YOU MAY NOT TRANSFER THE APP TO SOMEONE ELSE

    We are giving you personally the right to use the App and the Programme as set out above at paragraph 6. You may not otherwise transfer the App or the Programme to someone else, whether for money, for anything else or for free. If you sell any device on which the App is installed, you must remove the App from it.

    9. CHANGES TO THESE TERMS

    We may need to change these Terms from time to time. Each time you wish to use the App, please check these Terms to ensure you understand the terms that apply at that time. These Terms were most recently updated on 09/06/2022.

    10. UPDATE TO THE APP AND CHANGES TO THE PROGRAMME

    10.1. From time to time we may automatically update the App to improve performance, enhance functionality, reflect changes to the operating system, address security issues, reflect changes to the Programme and/or our products, reflect changes to our users' needs or reflect changes to our business priorities. Alternatively we may ask you to update the App for these reasons.

    10.2. If you choose not to install such updates or if you opt out of automatic updates you may not be able to continue using the App.

    11. WE MAY SUSPEND OR WITHDRAW THE APP

    11.1. Our App is made available free of charge.

    11.2. We do not guarantee that our App will always be available or uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our App for technical, business or operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

    12. YOU MUST KEEP YOUR ACCOUNT DETAILS SAFE

    12.1. If you choose, or you are provided with, a user identification code, password, biometric security systems such as face or fingerprint ID on a smartphone or device, or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

    12.2. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

    12.3. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at appsupport@tofs.com or https://www.tofs.com/pages/contact-us.

    13. IF SOMEONE ELSE OWNS THE PHONE OR DEVICE YOU ARE USING

    If you download or stream the App onto any phone or other device not owned by you, you must have the owner's permission to do so. You will be responsible for complying with these Terms, whether or not you own the phone or other device.

    14. WE MAY COLLECT TECHNICAL DATA ABOUT YOUR DEVICE

    By using the App, you agree to us collecting and using technical information about the devices you use the App on and related software, hardware and peripherals to improve our products and to provide the Programme to you.

    15. WE MAY COLLECT LOCATION DATA (BUT YOU CAN TURN LOCATION SERVICES OFF)

    15.1. The App will make use of location data sent from your devices. You can turn off this functionality at any time by turning off the location services settings for the App on the device. If you use the App, you consent to us and our affiliates' and licensees' transmission, collection, retention, maintenance, processing and use of your location data and queries to provide and improve location-based products and services.

    15.2. You may stop us collecting such data at any time by turning off the location services settings on your device.

    16. WE ARE NOT RESPONSIBLE FOR OTHER WEBSITES YOU LINK TO

    16.1. The App may contain links to other independent websites which are not provided by us. Such independent sites are not under our control, and we are not responsible for and have not checked and approved their content or their privacy policies (if any).

    16.2. You will need to make your own independent judgement about whether to use any such independent sites, including whether to buy any products or services offered by them.

    17. LICENCE RESTRICTIONS

    You agree that you will:

    (a) not rent, lease, sub-license, loan, provide, or otherwise make available, the App or the Programme in any form, in whole or in part to any person without prior written consent from us;

    (b) not copy the App, Documentation or Programme, except as part of the normal use of the App or where it is necessary for the purpose of back-up or operational security;

    (c) not translate, merge, adapt, vary, alter or modify, the whole or any part of the App, Documentation or Services nor permit the App or the Programme or any part of them to be combined with, or become incorporated in, any other programs, except as necessary to use the App and the Programme on devices as permitted in these Terms;

    (d) not disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the App or the Programme nor attempt to do any such things, except to the extent that (by virtue of sections 50B and 296A of the Copyright, Designs and Patents Act 1988) such actions cannot be prohibited because they are necessary to decompile the App to obtain the information necessary to create an independent program that can be operated with the App or with another program (Permitted Objective), and provided that the information obtained by you during such activities:

    (i) is not disclosed or communicated without our prior written consent to any third party to whom it is not necessary to disclose or communicate it in order to achieve the ("Permitted Objective"), and

    (ii) is not used to create any software that is substantially similar in its expression to the App;

    (iii) is kept secure; and

    (iv) is used only for the Permitted Objective;

    (e) comply with all applicable technology control or export laws and regulations that apply to the technology used or supported by the App or the Programme.

    18. ACCEPTABLE USE RESTRICTIONS

    You must:

    (a) not use the App or the Programme in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into the App, the Programme or any operating system;

    (b) not infringe our intellectual property rights or those of any third party in relation to your use of the App or the Programme, including by the submission of any material (to the extent that such use is not licensed by these Terms);

    (c) not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the App or the Programme;

    (d) not use the App or the Programme in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users; and

    (e) not collect or harvest any information or data from the Programme or our systems or attempt to decipher any transmissions to or from the servers running the Programme.

    19. INTELLECTUAL PROPERTY RIGHTS

    All intellectual property rights in the App, the Documentation and the Programme throughout the world belong to us (or our licensors) and the rights in the App and the Programme are licensed (not sold) to you. You have no intellectual property rights in, or to, the App, the Documentation or the Programme other than the right to use them in accordance with these Terms.

    20. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU

    20.1. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors or for fraud or fraudulent misrepresentation.

    20.2. Please note that we only provide our App for domestic and private use. You agree not to use our App, or the Programme, for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of opportunity.

    20.3. Although we make reasonable efforts to update the information provided by the App and the Programme, we make no representations, warranties or guarantees, whether express or implied, that such information is accurate, complete or up to date.

    20.4. Please back-up content and data used with the App. We recommend that you back up any content and data used in connection with the App, to protect yourself in case of problems with the App or the Programme.

    20.5. If defective digital content that we have supplied damages a device or digital content belonging to you, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

    20.6. We are not responsible for events outside our control. If our provision of the Programme or support for the App or the Programme is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay.

    21. WHAT HAPPENS IF YOU BREAK THESE TERMS

    21.1. We may end your rights to use the App and/or Programme at any time by contacting you if you have broken these Terms in a serious way. If what you have done can be put right we will give you a reasonable opportunity to do so.

    21.2. If we end your rights to use the App and/or the Programme:

    (a) You must stop all activities authorised by these Terms, including your use of the App.

    (b) You must delete or remove the App from all devices in your possession and immediately destroy all copies of the App which you have and confirm to us that you have done this.

    (c) We may remotely access your devices and remove the App from them and cease providing you with access to the Programme.

    22. OTHER IMPORTANT TERMS

    22.1. We may transfer our rights and obligations under these Terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under these Terms.

    22.2. You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

    22.3. These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these Terms.

    22.4. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

    22.5. Even if we delay in enforcing these Terms, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking these Terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

    22.6. These Terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.

    Privacy Notice for Customer, TOFS Club Member, Vendor & Business Related Personal Data

     

    INTRODUCTION

    This Privacy Notice describes the ways in which The Factory Shop Limited ("TOFS", “we”, “us”, “ours”) processes and protects the personal data of our customers, vendors and other business contacts, users of our app/website and members of our TOFS Club loyalty programme (“you”, “yours”).

    We are both an in-store and an online retail outfit. Customers can join our TOFS Club loyalty programme in-store or on our app. The benefits you are entitled to as a TOFS Club member may vary depending on whether you have registered in-store or on our app. If you join on our app, you will be a member of the TOFS Club+ loyalty programme but you will still be referred to as a ‘TOFS Club member’ throughout this Privacy Notice. Individuals can also sign up to our email programme to receive newsletters from us.

    The types of personal data that we process, as described in this Privacy Notice, are those necessary for us to provide our customers and TOFS Club members with an effective service locally, regionally and online, and to carry out various ancillary activities in relation to our vendors, business contacts and users of our app/website.

    We take very seriously our obligations to protect the personal data entrusted to us. The technical and organisational security measures that we employ to safeguard the information in our possession are regularly monitored, reviewed and enhanced in order to meet our responsibilities and the needs of our customers, vendors, TOFS Club members, app/website users and business contacts.

    6. HOW WE SOURCE YOUR PERSONAL DATA

    We may collect information about you in a variety of ways, e.g.:

      1. When you provide your personal data during the check-out process on our website or in-store,
      2. when you sign up to our TOFS Club loyalty programme in-store or on our app,
      3. when you sign up to our email programme,
      4. when you update your details in-store/online/via customer services,
      5. when you browse our website/app,
      6. when you return an item into store or online,
      7. from publicly available sources such as a public Facebook page or Instagram profile, or
      8. where you are a vendor, when you express an interest to supply us goods or services.

    7. PROFILING

    If you are a customer or a TOFS Club member, we may use the following types of personal data about you to build a profile of your preferences and interests:

      1. The data we collect directly from you including demographic information such as your home address, date of birth and gender;
      2. Your browsing activity on our app/website; and
      3. Your purchase activity in-store and online.

    7.2 We use this profile where it is in our legitimate interests to tailor the marketing that we provide to you by email, app push notifications, SMS, telephone and post and the online advertisements we display to you and your shopping habits.

    8. ONLINE ADVERTISEMENTS

    8.1 When you are browsing on apps and other websites, such as Facebook, we will display advertising about products and services which we think will be of interest to you based on your use of our app and website (such as the content you read on the website) and your shopping habits. We do this using services offered by sites and social networks, for example, Facebook's Custom Audiences, and using pixels on our website.

    9. WHO HAS ACCESS TO YOUR DATA?

    9.1 In the below circumstances the data will be subject to confidentiality arrangements with our selected third parties:

    • TOFS Club and online orders – your data is processed by our data and campaign management agency to personalise marketing communications and ensure all marketing campaigns are sent in accordance with this Privacy Notice. The agency specifically uses your information for profiling, as described in the ‘Profiling’ section above.
    • App users – your data is processed by our app developer who is responsible for providing you with the benefits you are entitled to as a TOFS Club The app developer also uses your information for profiling to provide you with personalised content on the app, as described in the ‘Profiling’ section above.
    • Tell tofs – your data is processed by our data management agency in the USA, the comments/feedback that you provide us helps us to make improvements to our products and services.
    • Accident reporting / CCTV / Third party vendors – this information is generally not shared with any external bodies unless we are required to do so by law or as part of an investigation.
    • Delivery Partners – if you place an order for delivery, we will pass your contact details to our delivery partners so that they can arrange for, and fulfil the delivery.
    • Website Provider– your data may be processed by our website provider, Shopify, in order for them to assist us in the provision of the site and to provide data to our data and campaign management agency.
    • Payment Processors – when you place an online order your data will be transferred to Stripe or Paypal (whichever payment processor you select) to process your payment.

    9.2 Your information may be shared internally with our personnel if access to the data is necessary for performance of their roles.

    9.3 Where the parties we engage with are located outside the UK and European Economic Area (EEA), in particular the United States, then we have procedures in place to ensure your data receives the necessary protections. Where we transfer your personal information to service providers outside the UK and the EEA where no adequacy decision applies, we use standard contractual clauses or other transfer tools provided for in the applicable data protection legislation to protect your personal information.

    10. HOW DO WE PROTECT DATA?

    10.1 We take the security of your data seriously. We have internal policies and controls in place to try to ensure that your data is not lost, accidentally destroyed, misused or disclosed, and is not accessed except by our colleagues in the performance of their duties and our approved service providers. This includes using individual passwords and restricted access to folders and systems on our IT network.

    10.2 Where we engage third parties to process personal data on our behalf, we do so on the basis of written instructions, they are under a duty of confidentiality and are obliged to implement appropriate technical and organisational measures to ensure the security of data.

    11.1 We will hold your personal data for the following duration/s:

    12. YOUR RIGHTS

    12.1 The GDPR provides you with certain rights in relation to the processing of your personal data, including to:

    • Request access to personal data about you (commonly known as a “data subject access request”). This enables you to receive a copy of the personal data we hold about you.
    • Request rectification, correction, or updating to any of the personal data that we hold about you. this enables you to have any incomplete or inaccurate information we hold about you corrected.
    • Request erasure of personal data. This enables you to ask us to delete or remove personal data where there is no good reason for us continuing to process it. You also have the right to ask us to delete or remove personal data where you have exercised your right to object to processing (see below).
    • Request the restriction of Processing of your personal data. This enables you to ask us to suspend the processing of personal data about you (e.g. if you want us to establish its accuracy or the reason for processing it).
    • Request the transfer of personal data provided by you (“data portability”).

    12.2 Object to the processing of your personal data in certain circumstances.

    Where we are processing your personal data on the basis of our legitimate interests, you can ask us to stop processing it and we must do so unless we believe we have an overriding legitimate reason to continue processing your personal data or we need to process your personal data to deal with a legal claim. This includes where we are carrying out profiling activities using your personal data.

    13. COMPLAINTS

    13.1 We strive to process your personal data in accordance with the applicable legal obligations but if you have any complaint(s) in that regard, please address your complaint(s) to chiefprivacyofficer@tofs.com.

    13.2 You also have the right to lodge a complaint with the UK Information Commissioner’s Office (“ICO”) if you are not happy with how TOFS processes your personal data and we cannot provide you with a satisfactory resolution to your request.

    14. AMENDMENTS TO THIS PRIVACY NOTICE

    14.1 This Privacy Notice may be amended from time to time. We will post any change to this Privacy Notice on our website and app.
